General terms and conditions of sale and delivery for the Official Furniture Show online shop

1. General
These terms and conditions of sale and delivery apply to the sale and delivery of products by Official Furniture Show to end customers in Switzerland via the online shop at [Insert Your Website URL]. By placing an order with Official Furniture Show, you agree to the application of these terms and conditions of sale and delivery to your order.
Deviations and side agreements to the currently valid terms and conditions of sale and delivery, including amendments to this provision, are only valid if they are agreed in writing.
2. Ordering process
All offers in the online shop are non-binding. Ordering a product constitutes an offer to conclude a purchase agreement with Official Furniture Show ("Official Furniture Show") in accordance with these terms and conditions of sale and delivery.
After the order is submitted, Official Furniture Show sends the customer an automatic order confirmation listing the order details. The purchase agreement is only concluded upon written order confirmation from Official Furniture Show. The order confirmation does not require a signature and can also be sent electronically.
3. Prices and shipping costs
All prices include the applicable VAT and, unless otherwise stated, the cost of delivery.
4. Payment terms
All orders must be paid by credit card before delivery.
5. Delivery
Delivery will be made to the delivery address in Switzerland specified by the customer. Information regarding availability and delivery times in the online shop does not constitute a binding or guaranteed delivery date. Delivery delays do not entitle the customer to refuse acceptance or claim damages. A right of withdrawal exists only if Official Furniture Show is responsible for the delivery delay. Partial deliveries are permitted and do not entitle the customer to refuse acceptance if they are reasonable for the buyer.
The customer will be contacted by Official Furniture Show or a third party commissioned by Official Furniture Show before delivery to arrange the exact delivery time.
If delivery to the customer is not possible because the delivered goods do not fit through the customer's entrance door, front door or staircase, or because the customer is not found at the delivery address provided by him, even though the delivery time was announced to the customer with reasonable notice, the customer shall bear the costs for the unsuccessful delivery.
6. Transfer of benefits and risks, retention of title
Benefit and risk pass to the buyer upon handover of the goods to the carrier (supplier).
Each delivered product remains the property of Official Furniture Show until full payment is received.
7. Warranty
The warranty period for defects in products is two years from delivery. Official Furniture Show provides a warranty for these defects under the following conditions:
Upon delivery, products must be inspected immediately for completeness and defects. Incorrect deliveries, shortages, and defects must be reported in writing within eight days of delivery. Defects that are not apparent with due diligence and are only discovered later must be reported in writing within eight days of discovery. Failure to report defects within the specified time frame will result in the products being deemed accepted and all warranty claims being excluded.
In the event of defects, Official Furniture Show will, at its discretion, either repair the product or replace the defective parts with defect-free ones upon return of the defective parts. If the repair fails, or if Official Furniture Show fails to provide a replacement or repair within a reasonable grace period, the buyer may reduce the purchase price or, in the case of a material defect, withdraw from the contract. Further warranty claims are excluded.
No warranty is provided for
(a) normal wear and tear;
(b) Defects resulting from improper use, faulty installation by the buyer or a third party commissioned by the buyer, breach or failure to comply with technical building regulations, excessive strain, modifications or repairs by the buyer or third parties commissioned by the buyer;
(c) Insignificant deviations in the design, construction, color or materials used, or from the quality standards published on the Internet or elsewhere (especially with regard to surfaces).
Defects do not release the buyer from his obligation to pay and accept the goods.
8. Liability
Official Furniture Show is liable for damages arising from warranty, non-performance or improper performance, tort, and other legal grounds only to the extent that the cause of the damage is based on an intentional or grossly negligent breach of duty by Official Furniture Show or one of its agents, and in the case of injury to life or body, also in cases of negligence. To the extent that Official Furniture Show's liability is excluded or limited, this also applies to the personal liability of Official Furniture Show's employees, representatives, and agents.
Liability under the Product Liability Act remains unaffected.
9. Data protection
Official Furniture Show processes and transmits information and personal data that the customer submits when using the website, insofar as this is necessary for the provision of the respective services, e.g., order processing, delivery of products, and payment processing, or for compliance with legal obligations, or where the customer has given their consent. Furthermore, Official Furniture Show uses the customer's data for advertising purposes and shares it with other companies within the group and with sales partners in the customer's vicinity. 10. Force Majeure
In the event of strikes, lockouts, operational disruptions, natural disasters, war, epidemics, accidents, and similar circumstances affecting the operations of Official Furniture Show or its suppliers, and which render the execution of the delivery not only temporarily impossible or unreasonable, Official Furniture Show may withdraw from the contract without being liable for compensation. In this case, Official Furniture Show undertakes to inform the customer immediately of the unavailability and to promptly refund any payments already made by the customer.
11. Severability Clause
Should any provision of these terms and conditions of sale and delivery be or become invalid, illegal, or unenforceable, the validity and enforceability of the remaining provisions shall not be affected. In such a case, the parties shall agree on a valid and enforceable provision that comes as close as possible to the economic intent of the invalid, illegal, or unenforceable provision.
12. Applicable law, jurisdiction and place of performance
These terms and conditions of sale and delivery are governed by Swiss law, excluding conflict of laws rules and the Vienna Sales Convention (CISG).
